Internal Integration Terms of Use / End-User License Agreement

These Terms of Use and End-User License Agreement ("Terms") govern access to and use of the A&M QuickBooks Connector (the "Integration"), an internal business tool operated by A&M Financial, LLC under the public brands A&M Financial and A&M Accounting ("A&M"). By accessing or using the Integration, the user agrees to these Terms.
1. Authorized Internal Use
The Integration is not a public software service. It may be used only by A&M personnel and other persons specifically authorized by A&M. It may be used only for legitimate accounting, bookkeeping, reporting, analysis, and financial-management work for a QuickBooks Online company that has authorized the connection and the applicable services.
2. QuickBooks Authorization
Each QuickBooks Online company must be authorized separately through Intuit's OAuth process. Authorization for one company does not authorize access to another company. Users must not connect a company unless they have authority to do so.
The Integration is independently operated by A&M. Intuit is not responsible for the Integration or the services A&M provides through it.
3. License and Restrictions
Subject to these Terms, A&M grants authorized users a limited, revocable, nonexclusive, nontransferable right to use the Integration for approved internal business purposes.
Users must not:
- Access a company or information without authorization;
- Share credentials, tokens, or access with unauthorized persons;
- Circumvent security, approval, logging, or company-isolation controls;
- Use the Integration for unlawful, fraudulent, infringing, or harmful activity;
- Attempt to reverse engineer, disrupt, probe, or compromise the Integration; or
- Use information from one client for another client without express authorization and a lawful professional purpose.
4. Read-Only Operation and Accounting Changes
The Integration is initially configured for read-only access at the application layer. It may retrieve approved reports and accounting information but must block record-creation, update, deletion, voiding, reconciliation, payment, payroll, tax, journal-entry, and settings changes.
If A&M later enables a supervised correction function, every change requires fresh approval identifying the client company and the specific batch of proposed changes. Approval for one company, batch, or operation does not authorize another. Additional approval is required for high-risk actions such as deletes, voids, reconciled-period changes, closed-period changes, merges, opening balances, journal entries, payroll, tax, payments, and reconciliation activity.
5. User Responsibilities
Authorized users are responsible for:
- Confirming the correct company before accessing information;
- Protecting authentication devices and credentials;
- Reviewing reports, recommendations, and proposed changes for accuracy;
- Following A&M's professional, security, and client-confidentiality obligations; and
- Promptly reporting suspected unauthorized access, incorrect company selection, or security incidents.
The Integration supports professional judgment; it does not replace required review or responsibility for accounting conclusions.
6. Availability and Changes
A&M may modify, suspend, limit, or discontinue the Integration at any time, including for maintenance, security, compliance, provider changes, or loss of authorization. Availability may depend on Intuit and other third-party services.
7. Third-Party Services
The Integration relies on Intuit QuickBooks Online and may rely on secure hosting, monitoring, and infrastructure providers. Use of those services may also be governed by their applicable terms and policies. A&M does not control third-party platforms.
8. Confidentiality and Privacy
Users must protect client information and use it only for authorized purposes. A&M's handling of QuickBooks information is described in the Integration Privacy Policy. These Terms do not reduce any confidentiality, professional, legal, or contractual duty that otherwise applies.
9. Disclaimer
The Integration is provided for authorized internal business use. To the extent permitted by law, it is provided "as is" and "as available" without warranties of uninterrupted operation, error-free results, or fitness for a particular purpose. Reports and recommendations must be reviewed by qualified personnel before reliance or action.
10. Limitation of Liability
To the extent permitted by law, A&M will not be liable under these Terms for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of or inability to use the Integration. This section does not limit liability that cannot lawfully be limited or A&M's obligations to its clients under separate written agreements and applicable professional standards.
11. Termination
A&M may revoke a user's access at any time. A user must stop using the Integration when authorization ends, employment or engagement ends, or A&M directs the user to stop. Sections concerning confidentiality, restrictions, disclaimers, liability, and retained obligations survive termination where applicable.
12. Governing Terms
These Terms supplement A&M's applicable engagement letters, confidentiality requirements, security policies, and professional obligations. If there is a conflict, applicable law and the controlling written client or employment agreement govern to the extent of the conflict.
